Advanced Licensing: Strategy and Structure for Successful Deals

Designed for licensing professionals with more than three years' experience, this one-day program brings together instructors with years of experience negotiating transactions for both research institutions and companies for a deep dive into critical provisions in license agreements. The program will focus primarily on drafting consideration and diligence terms that help maximize the chances that licensed technologies are successfully commercialized and that research institutions are compensated fairly for what they are licensing. Instructors will point out possible loopholes in a license that can be detrimental for the licensor, sharing “war stories” as well as strategies and solutions to avoid such loopholes. This is an opportunity for you to develop a deeper understanding of license structures and language and to share your creative solutions with others.
 
Topics covered:

  • Importance of definitions, clear language (or tactical ambiguity), and avoiding loopholes, in achieving our goals in technology transfer: bringing products to market and being fairly compensated for use of our institutions’ IP
  • Understanding the licensee’s business model and using that to inform the structure of consideration provisions, while ensuring that consideration language does not inadvertently leave value on the table
  • Making sure that consideration terms properly account for sublicensees’ activity
  • Options for treatment of a licensee’s affiliates
  • Know-how licensing and the ways it differs from patent licensing
  • Setting up licensee diligence requirements, including “efforts” language and milestones, post-agreement monitoring, breach and termination
